MyRenishaw Account Terms and Conditions

In these terms and conditions, “we” or “us” or “our” means Renishaw and “you” or “your” means both (1) the registered MyRenishaw account holder who accepts these terms and conditions by ticking the “accept” box on the MyRenishaw account registration form, and (2) the employer of the registered MyRenishaw account holder, where the account holder is using MyRenishaw during the course of his or her employment.

1. All access and use subject to these terms and conditions

1.1 MyRenishaw is operated by Renishaw. Your use of MyRenishaw is subject to these terms and conditions and to other notices on MyRenishaw which will operate in addition to these terms and conditions. Certain websites, applications or other items accessible via MyRenishaw may have additional terms and conditions specific to their use that require your acceptance before you can use or access them (“Additional Terms Items”).

2. Authorised Access

2.1 Access to MyRenishaw is restricted to persons authorised by Renishaw. The grant of authorised access to MyRenishaw or any part of it and the issue of passwords is at our sole discretion.

2.2 We reserve the right, at any time for any reason, to: (a) remove you from the authorised list of users for any part of MyRenishaw, or (b) suspend or terminate your use of MyRenishaw and your MyRenishaw account.

3 Confidentiality

3.1 The documents, files and information on MyRenishaw are Renishaw’s or its suppliers’ confidential material. You must not disclose, modify, copy, reproduce, display, publish, distribute, licence, sell, or otherwise transfer such documents, files or information except as permitted by Renishaw.

3.2 If you have gained unauthorised access to MyRenishaw you must not download, copy or use any of the documents, files or information contained in it for any purpose or disclose any of its content to any other person.

4 Security, passwords and viruses

4.1 It is your responsibility to keep your MyRenishaw password and account confidential. You must not allow any other person to use your password or your account. You are entirely responsible for any and all activities that occur under your account, and you will be liable for losses incurred by us or another party due to activity under your account.

4.2 Please inform us as soon as possible if your password becomes known by someone else, and reset your password as soon as possible by logging into your MyRenishaw account and selecting “change password”.

4.3 Please inform us as soon as possible if you or any person in your organisation who is an authorised user of MyRenishaw either leaves your organisation or is no longer to have access to MyRenishaw.

5 User conduct

5.1 You must use MyRenishaw only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use of MyRenishaw by, any other persons.

5.2 You must ensure that any document, file or information which you import or post to MyRenishaw, or provide to us to post on it, does not contravene any applicable law or contravene any person's legal rights.

5.3 You must not import, upload, post, transmit, distribute to MyRenishaw (including, but not limited to, any document room or discussion forum) or provide to us to post on it, any document, file or information: (a) in which you do not own (or have a licence of) the intellectual property rights; (b) which contains material which is threatening, abusive, libellous or defamatory, pornographic or otherwise obscene, or racially or ethnically or otherwise objectionable; (c) which restricts or inhibits or is reasonably likely to restrict or inhibit any other user from using MyRenishaw; (d) which contains misleading or false statements of fact regarding our or your products; or (e) which you suspect or know contains a Virus, Trojan horse, worm, time bomb, corrupted file or similar (“Viruses”).

5.4 We reserve the right to remove any material that we deem to breach the requirements of these terms and conditions.

5.5 We may monitor your MyRenishaw account use at any time, and may keep records of your MyRenishaw account use even after your account has been terminated by us or deleted by you.

6 Disclaimers

6.1 Whilst we will endeavour to ensure that no unauthorised access is given to MyRenishaw, we cannot guarantee that unauthorised persons will not be able to access the documents, files and information hosted on MyRenishaw or downloaded from it.

6.2 We cannot guarantee that documents or files downloaded from MyRenishaw will be free of Viruses. We strongly recommend that you (a) use current software that checks for Viruses when using MyRenishaw, and (b) check any document or file for Viruses before you import or post it to MyRenishaw or provide it to us to post.

6.3 We are not responsible for the content of documents, files or information imported or posted, or provided to us to post, on MyRenishaw by other persons.

6.4 MyRenishaw and its contents may incorporate links to the websites and services of third parties. Their provision does not constitute an authorisation to access such third party websites, nor an endorsement of their content. If you do make use of any links to third party websites, you should be aware that different legal terms and conditions might apply to your use of those sites. It is your responsibility to comply with those other terms and conditions.

7 Operation and downtime

7.1 We cannot guarantee that the operation of MyRenishaw will be fault free. MyRenishaw may from time to time require periods of downtime (when it will not be available for use) for the purposes of repair, maintenance or upgrading. Accordingly we do not guarantee uninterrupted availability of MyRenishaw but will use reasonable efforts to minimise any periods during which it is not available.

8 Intellectual property rights

8.1 We own the intellectual property rights in MyRenishaw, including, but not limited to all copyright in the software that runs it. You must not modify, download, distribute or decompile this software without our consent.

8.2 If you import or post, or provide to us to post, any document, file or information to MyRenishaw, you grant to Renishaw and its subsidiaries a non-exclusive, royalty-free, irrevocable right to use, reproduce, modify, create derivative works, distribute and display such material throughout the world in any media. The ability to distribute and display material shall not apply to any material that is subject to a separately agreed confidentiality agreement between you and Renishaw or which relates to specific business transactions between us.

9. Exclusion of warranties and liabilities

9.1 ANY WARRANTIES, WHICH WOULD OTHERWISE BE IMPLIED BY LAW, INCLUDING, WITHOUT LIMITATION, WARRANTIES AS TO SATISFACTORY QUALITY, FITNESS FOR PURPOSE OR SKILL AND CARE, ARE HEREBY EXCLUDED, AS IS ANY WARRANTY AS TO THE SUITABILITY OF ANY DOCUMENTS, FILES OR INFORMATION OBTAINED FROM MyRenishaw, AND ALL DOCUMENTS, FILES OR INFORMATION ON MyRenishaw ARE PROVIDED “AS IS”.

9.2 SAVE FOR ANY LIABILITY SPECIFIED FOR ANY ADDITIONAL TERMS ITEMS, AND TO THE EXTENT PERMISSABLE BY LAW, WE EXCLUDE ALL LIABILITY ARISING OUT OF OR IN CONNECTION WITH MyRenishaw OR THE INFORMATION, DOCUMENTS OR FILES ACCESSED FROM IT, WHETHER ARISING FROM NEGLIGENCE, BREACH OF CONTRACT OR STATUTORY DUTY OR OTHERWISE, INCLDUING ANY INDIRECT OR CONSEQUENTIAL LOSS OR DAMAGE AND ANY LOSS OF GOODWILL, BUSINESS OPPORTUNITY, ANTICIPATED SAVINGS, DATA OR PROFIT.

9.3 Nothing in these terms and conditions excludes or limits our liability for fraud or for death or personal injury arising out of our negligence.

10 Changes to MyRenishaw and these terms and conditions

10.1 We reserve the right to alter, update or close any part of MyRenishaw at any time and to change these terms and conditions. If we do change these terms and conditions, we will post a notice of the changes on MyRenishaw. If you then continue to use MyRenishaw, you will be deemed to have accepted those changes.

11 Governing law

11.1 These terms and conditions and any claim or dispute arising from or in connection with MyRenishaw (including non-contractual disputes and claims) (“Disputes”) shall be governed by and interpreted in accordance with English law and the Parties irrevocably agree that all Disputes will be subject to the exclusive jurisdiction of the English Courts.

11.2 If any of these terms or conditions should be determined to be illegal, invalid or otherwise unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant term or part-term shall be deemed severed and deleted. Any modification or deletion shall not affect the validity and enforceability of the remaining terms and conditions.
